These Terms and Conditions ("Terms") govern the use of the website, online services, counselling services, psychotherapy services, wellbeing programs, workshops, employee wellbeing services, institutional services, and other related services offered by Mindagon Pvt. Ltd. ("Mindagon", "we", "us", or "our"). By accessing our website, creating an account, booking a service, making a payment, attending a session, participating in a program, or otherwise using Mindagon's services, you agree to these Terms. If you do not agree with these Terms, you should not use our services.

These Terms should be read along with Mindagon's Privacy Policy and any consent forms, service-specific terms, institutional agreements, or program-specific conditions that may apply.

1. Eligibility

Mindagon's services may be accessed by individuals directly or through employers, educational institutions, coaching institutions, companies, organisations, or other sponsored wellbeing programs. Direct users may create accounts, submit enquiries, book appointments, purchase services, or participate in programs, subject to these Terms and applicable service conditions.

Users accessing Mindagon through an employer, institution, or organisation may be required to use organisation-specific links, portals, access codes, or approved channels. Their access, benefits, limits, and coverage will depend on the arrangement between Mindagon and the sponsoring organisation.

Minors below 18 years of age may use Mindagon's services only with appropriate consent from a parent, lawful guardian, or authorised representative, where such consent is required.

2. Nature of Services

Mindagon provides counselling, psychotherapy, wellbeing support, online sessions, workshops, mental health awareness programs, employee wellbeing services, institutional wellbeing services, subscriptions, and related support services.

The services provided by Mindagon are intended to support mental wellbeing, emotional health, self-awareness, personal development, workplace wellbeing, student wellbeing, and related concerns. The exact nature, scope, duration, and availability of services may vary depending on the service selected, professional availability, user needs, and applicable program terms. Mindagon may provide services online, offline, or through a combination of both, depending on the service model and availability.

3. No Emergency or Crisis Services

Mindagon does not provide emergency medical care, crisis intervention, suicide prevention emergency response, ambulance services, or immediate psychiatric emergency support.

If you are experiencing a medical emergency, psychiatric emergency, suicidal thoughts, risk of self-harm, risk of harm to others, abuse, violence, or any immediate danger, you should contact local emergency services, visit the nearest hospital, contact a crisis helpline, or seek immediate in-person support. Mindagon's website, online platform, forms, messages, emails, bookings, and counselling services should not be used as a substitute for emergency services.

4. Professional Services and Limitations

Mindagon's services may be delivered by employees, consultants, counsellors, psychologists, therapists, trainers, or independent professionals associated with Mindagon. While Mindagon aims to provide services with reasonable care and professionalism, outcomes cannot be guaranteed. The effectiveness of counselling, psychotherapy, wellbeing support, or workshops may vary depending on individual circumstances, participation, consistency, professional judgement, and other factors.

Mindagon does not guarantee any specific result, improvement, diagnosis, cure, academic outcome, employment outcome, relationship outcome, business outcome, or personal outcome from the use of its services. Mindagon's professionals may, at their discretion, suggest referral to another professional, medical practitioner, psychiatrist, hospital, or in-person service if they believe the user's needs are outside the scope of Mindagon's services.

5. Accounts and User Information

Users may be required to provide information to create an account, book a service, verify eligibility, make payment, or participate in a program. Users agree to provide accurate, complete, and current information. Mindagon is not responsible for issues arising from incorrect, incomplete, outdated, or misleading information provided by users.

Users are responsible for maintaining the confidentiality of their account credentials and for all activity that takes place through their account. Users must notify Mindagon if they suspect unauthorised access or misuse of their account.

6. Bookings and Sessions

Users are responsible for booking suitable appointment slots, attending sessions on time, and ensuring that they have the necessary privacy, internet connectivity, device access, and environment for online sessions. Mindagon and its professionals may not be responsible for interruptions, delays, missed sessions, or poor session quality caused by user-side internet issues, device issues, lack of privacy, late attendance, or other circumstances beyond Mindagon's reasonable control.

If a user is late for a session, the session may still end at the scheduled time, and the full fee may apply. Mindagon may reschedule, cancel, or modify appointments due to professional unavailability, technical issues, operational reasons, emergencies, or other reasonable circumstances.

7. Payments, Cancellations, and Refunds

Direct users are responsible for payment of applicable fees for services booked or purchased through Mindagon. Fees, plans, subscriptions, and service charges may vary depending on the selected service.

Users accessing Mindagon through employer-sponsored, institution-sponsored, or organisation-sponsored programs may receive benefits subject to the applicable program limits, eligibility conditions, service coverage, and agreement between Mindagon and the sponsoring organisation.

Cancellations or rescheduling requests made at least 24 hours before the scheduled session may be considered for rescheduling, credit, or refund, depending on the applicable service terms. Late cancellations, missed appointments, and no-shows are generally non-refundable, unless Mindagon decides otherwise at its discretion.

If Mindagon cancels a paid session, the user may be offered rescheduling, credit, or refund, as applicable. Refund timelines may depend on payment gateway, banking, and administrative processing times. Any refund, where approved, will generally be made to the original payment method or through another method decided by Mindagon.

Mindagon may change its fees, plans, packages, or payment terms from time to time.

8. Subscriptions and Program Benefits

Where Mindagon offers subscriptions, packages, plans, or program-based benefits, the scope of access will depend on the specific plan or program selected. Unused sessions, expired benefits, institutional coverage, plan limits, and renewal terms will be governed by the applicable plan, package, or organisational arrangement. Mindagon may modify, discontinue, or update subscriptions, service packages, or program benefits from time to time.

9. Confidentiality

Mindagon respects the confidentiality of users who access counselling, psychotherapy, and wellbeing services. Information shared during counselling or wellbeing support will be handled in accordance with Mindagon's Privacy Policy and applicable law. However, confidentiality is subject to legal, safety, safeguarding, professional, and operational limitations.

Mindagon may disclose limited information where required by law, court order, government authority, legal process, or where there is a serious safety concern involving the user, another person, a minor, a vulnerable person, or the public.

10. Employee, Institutional, and Organisation-Sponsored Services

Where services are provided through an employer, educational institution, coaching institution, company, or organisation, the sponsoring organisation may define eligibility, access limits, service coverage, reporting requirements, and payment arrangements. Mindagon may share limited administrative, billing, eligibility, usage, or anonymised program-level information with the sponsoring organisation, as described in the Privacy Policy and applicable service arrangement.

Mindagon does not share individual counselling content, personal concerns, or brief session summaries with the sponsoring organisation without user consent, except where required by law or where disclosure is reasonably necessary for safety reasons.

11. User Conduct

Users agree to use Mindagon's website and services lawfully and respectfully. Users must not misuse the website, interfere with its functioning, attempt unauthorised access, submit false or misleading information, impersonate another person, abuse or harass Mindagon's staff or professionals, record sessions without permission, share unlawful content, or use Mindagon's services for fraudulent, harmful, or illegal purposes.

Mindagon may refuse service, suspend access, cancel appointments, or terminate accounts where a user violates these Terms, misuses the service, behaves abusively, or creates risk for Mindagon, its professionals, or other users.

12. Intellectual Property

All content, materials, designs, logos, names, trademarks, text, graphics, videos, workshops, training materials, website content, program materials, and other intellectual property used by Mindagon are owned by or licensed to Mindagon, unless otherwise stated. Users may not copy, reproduce, distribute, modify, sell, publish, or commercially exploit Mindagon's content or materials without prior written permission from Mindagon.

Materials provided during workshops, programs, counselling support, or institutional services are for personal or internal use only, unless Mindagon gives written permission for any other use.

13. Third-Party Services

Mindagon may use third-party platforms or service providers for payment processing, video meetings, scheduling, communication, hosting, analytics, forms, or other operational purposes. Use of such third-party services may be subject to their own terms, privacy policies, security practices, and service availability. Mindagon is not responsible for issues, delays, outages, failures, or data practices of third-party platforms beyond its reasonable control.

14. Disclaimers

Mindagon's services are provided on an "as is" and "as available" basis.

Mindagon does not guarantee uninterrupted access to its website, online sessions, professionals, services, programs, or digital platforms. Services may be affected by availability, technical issues, internet disruptions, operational requirements, professional judgement, or circumstances beyond Mindagon's control.

Mindagon does not provide medical emergency services, and its services should not be treated as a substitute for emergency medical care, psychiatric emergency care, or immediate crisis support.

Nothing on Mindagon's website or communications should be treated as a guaranteed diagnosis, medical prescription, emergency advice, or assured outcome.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Mindagon shall not be liable for indirect, incidental, special, consequential, punitive, or remote losses arising from the use of, or inability to use, its website, services, sessions, programs, or third-party platforms. Mindagon's total liability, if any, shall be limited to the amount actually paid by the user to Mindagon for the specific service giving rise to the claim, unless a different limitation is required under applicable law.

Nothing in these Terms shall exclude liability that cannot be excluded under applicable law.

16. Indemnity

Users agree to indemnify and hold Mindagon, its directors, employees, professionals, consultants, partners, and service providers harmless from claims, losses, liabilities, damages, costs, or expenses arising from misuse of Mindagon's services, violation of these Terms, unlawful conduct, false information, unauthorised recording or sharing of sessions, infringement of rights, or actions that cause harm to Mindagon or third parties.

17. Suspension and Termination

Mindagon may suspend, restrict, or terminate access to its website, services, accounts, bookings, or programs if a user violates these Terms, misuses the services, fails to make payment, provides false information, behaves abusively, causes risk, or engages in unlawful activity. Mindagon may also discontinue, modify, or suspend any service, plan, package, or program at its discretion, subject to applicable law and any existing contractual obligations.

18. Changes to These Terms

Mindagon may update or modify these Terms from time to time. The updated Terms will be posted on Mindagon's website with the revised effective date. Continued use of Mindagon's website or services after the updated Terms are posted will mean that the user accepts the updated Terms.

19. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India. Subject to applicable law, the courts located in Ernakulam, Kerala shall have jurisdiction over disputes arising from or relating to these Terms or Mindagon's services.
